(C06) A RESOLUTION OF THE ANNA COMMUNITY DEVELOPMENT CORPORATION AUTHORIZING A QUITCLAIM DEED OF PROPERTY LOCATED AT OR NEAR NATURAL SPRINGS PARK TO THE CITY OF ANNA WHEREAS, the Anna Community Development Corporation (the "CDC") desires to deed property at or near Natural Springs Park to the City of Anna to provide for park, recreation, community facilities, and related purposes in furtherance of enhanced community development; and WHEREAS, the CDC has determined that the above -referenced real property that is currently co -owned by the CDC and the City of Anna, said real property being further described in Exhibit A (the "Property"), are in the best interests of the CDC and will promote Community development and new or expanded business enterprise in the City of Anna; NOW THEREFORE, BE IT RESOLVED BY THE ANNA COMMUNITY DEVELOPMENT CORPORATION, THAT: Section 1. Recitals Incorporated The recitals set forth above are incorporated herein for all purposes as if set forth in full. Section 2. Authority to Execute Consulting Services Agreement The Board of Directors of the Anna Community Development Corporation authorize the CDC President to execute, on behalf of the CDC, subject to approval of legal form by the CDC's legal counsel, a quitclaim deed, as further described in Exhibit A, of the Property to the City of Anna, Texas, said authority to include execution of all necessary documents to consummate the transaction. APPROVED: ATTEST: Alonzo lutl6n, CDC President L retta Blacketer, CDC Secretary ANNA CDC RESOLUTION NO aG l S ti l -0 / (C-6C) PAGE 1 OF 1 Exhibit A QUITCLAIM DEED STATE OF TEXAS COUNTY OF COLLIN For and in consideration of the sum of TEN AND NO/100 DOLLARS ($10.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, ANNA COMMUNITY DEVELOPMENT CORPORATION, a Type A development corporation duly formed under the laws of the State of Texas ("Grantor") does hereby QUITCLAIM its interest to the City of Anna, Texas, ("Grantee") and its respective successors and/or assigns to that certain portion of real property in or near the corporate limits of Anna, Texas, said land being further described in Exhibit A attached hereto (the "Property"). THE PROPERTY IS BEING QUITCLAIMED BY THE GRANTOR "AS IS", "WHERE IS", AND "WITH ALL FAULTS" WITHOUT ANY REPRESENTATION OR WARRANTY WHATSOEVER AS TO ITS CONDITION, FITNESS FOR ANY PARTICULAR PURPOSE, MERCHANTABILITY OR ANY OTHER WARRANTY, EXPRESS OR IMPLIED. GRANTOR SPECIFICALLY DISCLAIMS ANY WARRANTY, GUARANTY OR REPRESENTATION, ORAL OR WRITTEN, PAST OR PRESENT, EXPRESS OR IMPLIED, CONCERNING THE PROPERTY. GRANTEE ACKNOWLEDGES THAT GRANTEE IS PURCHASING THE PROPERTY BASED SOLELY ON GRANTEE'S OWN INDEPENDENT INVESTIGATIONS AND FINDINGS AND NOT IN RELIANCE ON ANY INFORMATION PROVIDED BY GRANTOR OR GRANTOR'S AGENTS OR CONTRACTORS.
