A RESOLUTION OF THE ANNA ECONOMIC DEVELOPMENT CORPORATION
PETITIONING THE CITY COUNCIL OF THE CITY OF ANNA TO AUTHORIZE AMENDING
THE CERTIFICATE OF FORMATION
WHEREAS, Local Government Code § 501.301 requires the Anna Economic Development
Corporation ("EDC") to seek authorization to amended their Certificate of Formation from the
governing body; and
WHEREAS, the EDC desires to amend their Certificate of Formation.
NOW THEREFORE, BE IT RESOLVED BY THE ANNA ECONOMIC DEVELOPMENT
CORPORATION THAT:
Section 1. Recitals Incorporated.
The recitals set forth above are incorporated herein for all purposes as if set forth in full.
Section 2. Amendments to the EDC's Certificate of Formation.
The EDC Board of Directors hereby approves amending the Anna Economic Development
Corporation Certificate of Formation as set forth in Exhibit A, attached hereto and incorporated
herein for all purposes as if set forth in full, subject to legal review and approval by the City of
Anna City Council. The Board further authorizes its legal counsel to make additions and
revisions for proper legal form and to include same in said amendments, deemed to be
incorporated therein, and this resolution shall further constitute a petition to the City of Anna City
Council for its approval of said amendments.
