A RESOLUTION OF THE CITY OF ANNA, TEXAS (the "Applicanf'), DESIGNATING
THE GREATER ANNA CHAMBER OF COMMERCE AS BEING RESPONSIBLE FOR
THE APPLICANT IN DEALING WITH THE TEXAS DEPARTMENT OF AGRICULTURE
("TDA"), SOLELY FOR THE PURPOSE OF PARTICIPATING IN TDA's GO TEXAN
RURAL COMMUNITY BOOTSTRAP BUCKS PROGRAM (the "Program") AND
CERTIFYING THAT 'rHE APPLICANT IS ELIGIBLE TO RECEIVE PROGRAM
ASSISTANCE.
WHEREAS, the Applicant is a GO TEXAN Rural Community Program certified member
and is fully eligible to receive assistance under the Program; and
WHEREAS, The Applicant acknowledges that it is applying for a grant from the GO
TEXAN Rural Community Bootstrap Bucks Program to help offset the cost of promotional
activities associated with marketing local tourism events; and
WHEREAS, the Applicant wishes to authorize the Greater Anna Chamber of Commerce
("GACC") to act as an agent for the Applicant, but solely for the purposes described in
this resolution so that GACC may represent the Applicant in dealing with TDA concerning
the Program;
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
ANNA, TEXAS, THAT:
SECTION 1: That the Applicant hereby certifieS that it is eligible to receive assistance
under the Program.
SECTION 2: The Applicant hereby authorizes and directs GACC as its agent solely for
the purposes of the 2009 GO TEXAN Rural Community Bootstrap Bucks Program, to act
for Applicant in dealing with TDA for the purposes of the Program, and GACC is officially
designated as the representative of Applicant in this regard.
SECTION 3: The Applicant hereby specifically authorizes GACC to do all administrative
acts necessary to apply for and receive assistance from the Program related to the Glow
Fest that will take place in Anna, Texas during the dates of May 22-25,2009. The GACC
is authorized to execute on behalf of the Applicant any agreements, licenses or other
documents required by TDA for Applicant's participation in the Program.

GRANT AGREEMENT
GO TEXAN Rural Community Bootstrap Bucks Program
I. RECITALS
1.1 WHEREAS, Grantor has established the GO TEXAN Rural Community Bootstrap
Bucks Program (Program) to provide reimbursable funds to rural communities to
promote local tourism and boost local economies by attracting new jobs and dollars;
1.2 WHEREAS, Grantee has applied for a reimbursable grant from the Program and met all
requirements for receiving the Grant; and
1.3 WHEREAS, the Program's Review Committee has approved this Grant award.
1.4 NOW, THEREFORE, the parties agree to the following terms and conditions:
II. DEFINITIONS
2.1 "Agreement" means this Grant Agreement and all attached exhibits.
2.2 "Event" means the Anna Glow Fest, which will be held May 22 - 25, 2009, in Anna,
Texas, as provided for in Grantee's Bootstrap Bucks Project Application attached to this
Agreement as Exhibit A.
2.3 "Event Amount" is up to $2,500.00.
2.4 "Funding Coordinator for Marketing and Promotion" means Grantor's representative
responsible for coordinating the GO TEXAN Rural Community Bootstrap Bucks
Program.
2.5 "Grant" means the funds spent by Grantee for the Event on Banners.
2.6 "Grantee" means City of Anna.
2.7 "Grantee's Agent" means person authorized by the Grantee to be responsible for all
aspects of promoting the Event, including but not limited to, carrying out the Event
objectives, submitting periodic reports and maintaining contact with the Program.
Grantee has designated such person on the Program's Resolution Authorizing
Application Form, provided by Grantor.
2.8 "Grantor" means the Texas Department of Agriculture.
2.9 "GT Mark and Tagline" means the GO TEXAN Design and Certification Mark that is
pending registration with the United States Patent and Trademark Office and the Tagline
that was developed by TDA to be used by Grantee in accordance with the License
Agreement to Use GT Mark and Tagline that the parties have executed prior to this
Agreement.

2.10 "Program" means Grantor's rural economic development program, the GO TEXAN
Rural Community, which provides funds to rural communities to promote local tourism
and boost local economies by attracting new jobs and dollars;
2.11 "Term of Agreement" is date of Grantor's signature though July 24, 2009.
III. GRANTOR AND GRANTEE OBLIGATIONS
3.1 Award by Grantor. Grantor awards to Grantee the Grant, which Grantee shall use
solely for promotion of the Event.
3.2 Performance by Grantee. Grantee shall perform all the activities described in Grantee's
Project Application that is incorporated into this Agreement as Exhibit A. Grantee may
perform additional promotional activities outside the scope of this Agreement, but such
activities are not reimbursable by the Grant, and Grantor shall not be liable for the costs
associated with any such activities.
3.3 Use of the GT Mark and Tagline. Except as otherwise approved in writing by Grantor,
all promotional material that Grantee develops and uses to promote the Event shall bear
the GT Mark and Tagline in order to be reimbursed by Grantor in accordance with this
Grant.
3.4 Approval of Promotional Material. All promotional materials to be reimbursed under
this Grant shall be sent to Grantor for approval at least five days before such material is
produced. Grantor shall have sole authority to approve or deny the design, production or
use of any material. Including materials that display the GT Mark and Tagline. Failure to
obtain prior approval of materials and artwork may be grounds for denial of any
reimbursement request for such materials.
3.5 Sponsors. Grantee shall notify Grantor of all sponsors of the Event upon receiving their
confirmation, or no later than 30 days before the Event. Grantor may withhold Grant
funds or terminate this Agreement if Grantor determines that any Event Sponsor is
adverse to the interest of the Grantor or the Program.
3.6 Use of Information in Promotion. Grantor may publicize the Grant and Event and use
and disseminate the information, data, conclusions, articles, reports, brochures, audio and
videotapes, photographs, and other items provided by Grantee. Grantee understands that
Grantor is authorized to release any information related to the Event, whether provided to
Grantor by Grantee in written or other form.
3.7 Funding Statement. All promotional materials funded by the Program and prepared by
Grantee for reprint, release, or dissemination shall include a statement that the work was
funded, in whole or in part, by the GO TEXAN Rural Community Bootstrap Bucks
Program administered by the Texas Department of Agriculture.

3.8 Use of Photographs. Grantor may use any photographic likeness of Grantee's
principals, officers, employees, or any other person in Grantee's control in its marketing
materials. Grantee releases Grantor and all other persons and associations from any and
all claims and causes of action that Grantee has or may have in the future, or persons
employed by or controlled by Grantee, relating to the presentation of photographs or
likenesses in such materials.
IV. GRANTEE'S REPORTING REQUIRMENTS
4.1 Community Assessment Form. Within 30 days after the Event, Grantee or Grantee's
Agent, shall provide to Grantor a completed Community Assessment Form, which is
provided for in the form attached to this Agreement as Exhibit B.
4.2 Final Budget Report. Grantor shall provide Grantee or Grantee's Agent with a final
budget report for Grantee or Grantee's Agent's review and execution. The final budget
report will result from the receipts and proof of payments submitted by the Grantee or
Grantee's Agent. This report is due 30 days after postmark. Grantor shall not reimburse
Grantee for expenses incurred after the termination date of the Agreement.
4.3 Copies of Promotional Materials. Grantee shall provide Grantor at least three copies of
all promotional materials produced with Grant funds, regardless of media type that
describe or publicize the Event. With Grantor's written authorization, Grantee may
substitute photographs, smaller versions, or other approved format and quantities of such
materials.
4.4 Photographs. Grantee shall provide Grantor at least three different photographs at
different angles of the Event, including photographs of Event traffic and display of the
GT Mark and Tagline. If the Event occurs on multiple, non-consecutive dates, Grantee
shall provide three photographs from each Event date. If promotional activities include
attendance at tradeshows, Grantee shall provide Grantor at least three different
photographs at different angles of Grantee's booth at each tradeshow, including
photographs of booth traffic and display of the GT Mark and Tagline.
4.5 Failure to Comply with Reporting Requirements. Failure of Grantee to comply with
any of the reporting requirements in this Agreement may result in Grantee's ineligibility
to apply and receive a Grant of Program funds in the future.
V. RECORD RETENTION AND ACCESS TO GRANTOR AND STATE AUDITIORS
OFFICE OF GRANTEE'S RECORDS
5.1 Access by Grantor and State Auditor's Office. During the Term of Agreement and for
at least three years after termination of the Agreement, Grantee shall allow Grantor
and/or the State Auditor's Office (or any successor agency) access to and the right to
examine the premises, books, accounts, records, files and other papers or property
belonging to or in use by Grantee under this Agreement. Grantor further has the right to
make a visual inspection of any assets purchased or constructed with Grant funds.

5.2 Audits or Investigations by State Auditor's Office. Grantee understands that
acceptance of Grant funds under this Agreement acts as acceptance of the authority of the
State Auditor's Office (or any successor agency) to conduct an audit or investigation in
connection with such funds. Grantee further agrees to cooperate fully with the State
Auditor's Office, or its successor in the conduct of the audit or investigation, including
providing all records requested and providing the State Auditor with access to any
information the State Auditor considers relevant to the investigation or audit. Grantee
shall ensure that this clause concerning the authority to audit funds received indirectly by
subcontractors through Grantee and the requirement to cooperate is included in any
subcontract it awards.
5.3 Record Retention Period. Grantee agrees to retain all records for performance under
this Agreement (including any work performed by subcontractors) for a three-year period
from the date of this Agreement's termination, or until any litigation or audit findings
have been resolved, whichever is longer.
VI. REIMBURSEMENT PAYMENTS
6.1 Receipts and Proof of Payments. Grantee shall submit to Grantor receipts and proof of
payments for reimbursement under this Agreement. Such documentation shall be used by
Grantor to prepare Grantee's Final Budget Report in accordance with Section 4.2 of this
Agreement.
6.2 Reimbursement Payments. Upon receipt of the completed final budget report, which is
compiled utilizing the required documentation of expenditures, Grantor shall begin
processing Grantee's reimbursement payment in accordance with Section 6.3 of this
Agreement.
6.3 Reimbursable Expenses. Reimbursable expenses under this Grant are provided in
Section 2.5. Grantor shall not reimburse Grantee for any unapproved expenses or
expenses incurred outside of the Term of Agreement. Grantor shall not reimburse
Grantee for Grant expenditures that are not made in compliance with any applicable State
of Texas purchasing laws and regulations as they apply to municipalities and counties.
Grantor shall not, under any circumstances, reimburse for alcoholic beverages,
entertainment and charitable or political contributions. Receipts and invoices shall be in
English. All approved reimbursable expenses shall be backed by proof of payment, such
as stamped paid invoices, receipts or copies of cancelled checks. Failure to obtain prior
approval of promotional materials and artwork may be grounds for denial of a
reimbursement request for such materials.
6.4 No Reimbursement for Misuse of Grant Funds. Grantor may withhold Grant funds
under this Agreement and/or may require a refund of Grant funds already disbursed to
Grantee if. (i) Grant funds are misused; (ii) Grant funds are used in an illegal manner
(iii) Grant funds are used for expenditures not listed in the Project Budget (iv) Grantee
violates the terms and agreements of this Agreement; or (v) Grantee made any
misrepresentations to Grantor in obtaining this Grant. This provision is not exclusive of
other grounds for withholding or refunding of funds or any other remedy, civil or
criminal, which may be available to Grantor.

VII. TERM AND TERMINATION OF THE AGREEMENT
7.1 Termination. This Agreement may be terminated at any time in writing by mutual
consent. In addition, either party may terminate this Agreement, without cause, upon 30
days written notice to the other party. Early termination of this Agreement shall not
relieve the Grantee from the applicable reporting requirements under this Agreement. If
one parry terminates the Agreement, pursuant to this Section, then the effective date of
termination is 30 days from the date that the non -terminating party receives the notice of
termination. Notice under this Section is sent to the non -terminating party by registered
or certified mail, return receipt requested.
7.2 Immediate Termination by Grantor. Any default or breach of this Agreement,
including but not limited to, the failure by Grantee to submit timely reports or fulfill any
other obligation under this Agreement, shall constitute cause for immediate termination
of this Agreement. Such termination is effective upon written notification by Grantor by
mailing it registered or certified mail, return receipt requested, to Grantee. The effective
date of termination is when Grantee receives Grantor's notice of termination.
7.3 Curable Breach of Agreement. If Grantor determines that a breach by Grantee is
curable, Grantor may send written notice to Grantee stating the nature of the breach.
Notice of breach shall be sent to Grantee by registered or certified mail, return receipt
requested. Such notice shall be deemed effective upon receipt by Grantee. Should the
breach not be cured by Grantee within 30 days after receiving Grantor's notice, Grantor,
in accordance with Section 7.2 of this Agreement, may immediately terminate this
Agreement.
7.4 Termination for Failure to Obtain Licenses and Permits. Grantee's failure to obtain
and maintain applicable federal, state, and local licenses and permits may constitute cause
for immediate termination of this Agreement in accordance with Section 7.2 of this
Agreement.
7.5 Grantee Solely Responsible for Compliance. The Grantee shall be solely responsible
for compliance with all applicable program rules, federal, state, and municipal laws,
ordinances, regulations, and purchasing or contracting guidelines in the accomplishment
of the Grant. Failure to comply with such may be cause for immediate termination of this
Agreement in accordance with Section 7.2 of this Agreement.
7.6 No Reimbursement Upon Termination. In the event of termination of this Agreement,
Grantor shall make no further reimbursements to Grantee beyond those already approved
at the time of termination, and Grantee specifically waives all rights to any such funds.
VIII. AGREEMENT MODIFICATIONS
8.1 Agreement to Amend. Unless provided for in Section 8.6 of this Agreement, this
Agreement cannot be changed, amended or modified in any manner other than by written
agreement executed by both parties.

8.2 Amendment Request. A request to amend this Agreement by either party, shall be in
writing and signed by the requesting party's authorized signatory. Requests shall also
include a summary of the status of the Grant and a statement with the reason for the
request.
8.3 Amendment Request to Extend Term of Agreement. An amendment request to extend
the Term of the Agreement shall be submitted to Grantor by Grantee 30 days prior to end
of the Term of the Agreement.
8.4 Notification of Change in Grantee's Agent. Grantee shall notify Grantor in writing
within 30 days if Grantee's Agent changes during the Term of Agreement. Failure to
submit required notice may be grounds for termination of this Agreement.
8.5 Grantor Request for Amendment. Grantor may request an amendment to the
Agreement by submitting the requested change to Grantee in writing.
8.6 Grantee Request for Amendment. Grantee may request an amendment to the
Agreement by submitting the requested change, in writing, to the Funding Coordinator
for Marketing and Promotion. A request for an amendment to the Agreement shall
include a summary of the Event status and a statement explaining the reason for such
request.
IX. GENERAL TERMS AND CONDITIONS
9.1 Subcontracts/Assignment. Any delegation by Grantee to a third party of any of the
duties and responsibilities imposed by this Agreement shall not relieve Grantee of its
responsibility to Grantor for the proper performance. Grantee cannot subcontract or assign
any of its duties under this Agreement without advance written notice to Grantor and prior
written approval of Grantor.
9.2 No Creation of Debt. This Agreement shall not be construed as creating any debt on
behalf of the State of Texas, and/or Grantor in violation of Section 49, Article III of the
Texas Constitution.
9.3 Indemnification. To the extent allowed by law and the Texas Constitution, Grantee shall
indemnify and hold harmless Grantor, its agents and employees, from any and all claims,
demands, and causes of action arising from or related to Grantee's performance under this
Agreement.
9.4 Public Information Act. Grantee acknowledges that all information and work
performed pursuant to this Agreement is or may be subject to the Texas Public Information
Act, Chapter 552, Texas Government Code (Act). Grantee agrees to provide Grantor with
written notice, in a timely manner, of any request for information regarding this Agreement
pursuant to this Act.

9.5 Uniform Grant Management Standards. This Agreement shall comply in all respects with
the Uniform Grant Management Standards (UGMS), Texas Government Code, Section
783.007. In the case of any conflicts between UGMS and this Agreement, the UGMS shall
control.
9.6 Grantee Not Employee of Grantor. Grantee, its employees, contractors, and/or
subcontractors shall not present themselves as or be construed as employees or agents of
Grantor. Neither Grantee nor its employees have an employer -employee relationship with
Grantor.
9.7 Applicable Law, Dispute Resolution and Venue. This Agreement shall be governed by and
construed in accordance with the laws and court decisions of the State of Texas. Any claim
that may arise out of this Agreement shall be resolved pursuant to the dispute resolution
provisions in Chapter 2260, Texas Government Code. Venue is in Travis County, Texas.
9.8 Availability of State Funds. This Agreement is subject to the availability of state funds. If
such funds become unavailable during the Term of Agreement and Grantor is unable to obtain
sufficient funds, this Agreement shall be reduced or terminated.
9.9 Severability. If any part of this Agreement is declared by a court to be invalid or
unenforceable, such portion shall be deemed severed from this Agreement and the remaining
part shall remain in full force and effect.
9.10 Waiver. No waiver, whether expressed or implied, shall be construed as a continuing
wavier unless it is specifically described in writing as a continuing waiver.
9.11 Exhibits. Exhibit A —Bootstrap Bucks Project Application and Exhibit B — Bootstrap Bucks
Community Assessment Form are incorporated into this Agreement as Exhibits.
9.12 Authorized Signatory. Each person signing this Agreement certifies that he or she is
authorized by the Grantor or Grantee to bind the party on whose behalf they are signing to the
terms and conditions in this Agreement.

and present, presentation by American Fallen Soldiers Program fireworks display) old car
show, live music (live local bands will Perform daily).

The $2,500 would be used for banners throughout the city to promote the event. Potential
locations for the banners include exits off of highway 75 Lthe City's main highway) and along
hi , hway 5, a major thoroughfare with in the city.

All visitors will be required to pay to park. A parking attendant will keep track to the best of

this resolution so that GACC may represent the Applicant in dealing with TDA concerning
the Program;
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
ANNA, TEXAS, THAT:
SECTION 1: That the Applicant hereby certifies that it is eligible to receive assistance
under the Program.
SECTION 2: The Applicant hereby authorizes and directs GACC as its agent solely for
the purposes of the 2009 GO TEXAN Rural Community Bootstrap Bucks Program, to act
for Applicant in dealing with TDA for the purposes of the Program, and GACC is officially
designated as the representative of Applicant in this regard.
SECTION 3: The Applicant hereby specifically authorizes GACC to do all administrative
acts necessary to apply for and receive assistance from the Program related to the Glow
Fest that will take place in Anna, Texas during the dates of May 22-25, 2009. The GACC
is authorized to execute on behalf of the Applicant any agreements, licenses or other
documents required by TDA for Applicant's participation in the Program.
