PASCHAL, JR. WHEREAS, the Collin-Grayson Municipal Alliance (CGMA) was formed by the cities of Melissa, Anna, Van Alstyne, and Howe to develop ways to work cooperatively together on projects of mutual interest; and WHEREAS, the CGMA governing board has voted to retain Donald E. Paschal, Jr. in an advisor role to coordinate the activities of CGMA, and has asked each member city to approve the attached Advisory Services Proposal (the "Agreement"); and WHEREAS the City Council of the City of Anna, Texas finds that approving the Agreement is in the best interests of the citizens of Anna; NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ANNA, TEXAS THAT: Section 1. Recitals Incorporated The recitals set forth above are incorporated herein for all purposes as if set forth in full. Section 2. Approval of Agreement The City Council hereby approves the Agreement attached hereto as EXHIBIT 1, incorporated herein for all purposes and authorizes the City Manager to execute same on behatf of the City. Box 776 Anna, Texas 75110 Re: Collin I Grayson County Alliance Consulting I Advisory Services Proposal To: City of Anna This letter of proposal is submitted to Anna as one of the participating Cities in the Collin -Grayson Municipal Alliance. I am pleased to submit this proposal to continue providing professional consulting and advisory services for the group of Cities hereinafter referred to as the Alliance. Over the past several years, we have addressed many issues, achieved numerous successes, established cooperative precedents, and invested in the groundwork for future opportunities. Thus, I am looking expectantly forward to assisting the Alliance and its member Cities to continued successes over the next several years and I remain confident that my knowledge and expertise relative to local government operations and management in general, municipal growth and development, visionary and long-range planning, and my knowledge and experience in the use of municipal partnerships with special districts will be of significant benefit to the Cities of north Collin and south Grayson Counties. Background The participating Cities of Melissa, Anna, Van Alstyne, and Howe have established an effective cooperative venture via the Collin Grayson Municipal Alliance over the past years and there is every reason to believe that the Alliance partnership will only expand in opportunities to provide effectiveness and efficiency for each of City participant. The growth cycle for northern Collin County is now a reality and Grayson County Cities will soon be impacted to a greater extent by growth and interest in growth potential. It is antiCipated that the pace of development will re-escalate over the next several years as this area is the natural extension of the McKinney I Frisco I Plano I Allen area. Residential growth in Plano and Allen has been slowing over the past couple of years as the availability of residential property diminished with land being consumed by growth. While a large portion of that demand will continue to be absorbed by McKinney and Frisco, it is fully evident that growth will not be contained by the northern boundaries of these cities, but is stretching to the next tier of communities and has 2 already begun to extend to the limits of Collin County and will then flow into Grayson County. Predecessor agreements to this document date back to the initiation of the Alliance concept in February of 2002 and were reaffirmed with an extension in March of 2006 by each of the participating Cities. In August of 2010, Consultant met with the City Managers I Administrators of the four Alliance Cities for the purpose of inquiring as to the managers I administrators desire and need for the Alliance and consulting I advisory agreement to be extended beyond the end of 2010. There was discussion of the successes and the potential needs that might arise in the future. Consultant requested the respective Managers I Administrators consider the issue over the succeeding weeks and provide an indication back to Consultant. Following a strong indication of interest, Consultant advised that an updated agreement along with new areas of potential assistance would be prepared and submitted to the Cities for consideration. This document is the draft proposal and is submitted to each of the respective Cities independently as has been the historical practice although it is necessary that each Cities agreement be the same as the other participants except for the respective Cities name and execution authorization. It is noted that the agreement does provide opportunity for the participants to call on Consultant for service unique to that City as extra services as provided for hereinafter. It is requested that the respective Cities proceed to consider this matter in a timely fashion that fits each respective meeting schedule. It is noted that Consultant agrees to continue the relationship under the exact same terms as have existed since 2002. Proposal Concept This proposal is submitted based on the request noted above and is for the purpose of continuing to address the collective concerns and issues of the member Cities. The Alliance members (collective cities) will continue to band together to: maintain and strengthen a long-term relationship with the North Texas Municipal Water District for both water supply and wastewater treatment or such other alternative provider may be identified and pursue such other objectives as may be mutually desirable. The continuing objective of the water I wastewater concept is to contract with an established entity (such as the NTMWD and GTUA) to secure a combination of stability, expertise, existing and future water reserves, and financial capacity. Also, it is proposed that efforts continue on other issues as are agreed by the Alliance Board. Areas of Advisory I Consulting Services Donald E. Paschal, Jr. (hereinafter referred to as Consultant) proposes to continue to provide assistance to the Alliance for water supply and wastewater treatment services and pursue other common objectives impacting growth and the future quality of both the Alliance Cities and unincorporated areas of Collin and Grayson Counties. Consultant will provide a variety of services including: issue identification; solution conceptualization; opportunity visualization and optimization; contract coordination and negotiation; planning and coordination of collective interests such as upgrading subdivision regulations and related matters; coordinating I developing solutions to minimize fiscal impacts; project implementation; physical development and other project negotiations; and options and financial analysis on related issues. Consultant 3 has the experience and ability to facilitate/guide, advise and assist the Alliance Cities in all areas of municipal operations and development. The following represents an overview of participation / involvement areas in which Consultant proposes to provide services to assist the Alliance successfully achieve collective objectives: Group A Services -Alliance Collective Services determined by the CGMA Board: );> Assist the Cities of the Alliance through the Alliance Board on matters of mutual concern and to help foster a collective working relationship, including specific project priorities and projected timeframe for said projects );> Identify a series of measurable short-term goals and longer-range objectives for the Alliance as requested );> Help to coordinate the common development interest of Alliance members as requested );> Review and comment on development expectations and growth projections for the area as requested by the CGMA Board );> Review and advise the Alliance Cities on collective development proposals / issues on an as needed basis );> Facilitate discussions with NTMWD and represent the Alliance Cities in relationships with NTMWD including long-term commitments / contracts for utility services including a projected implementation plan and timetable );> Serve as contract negotiator for the Alliance with the NTMWD and other entities );> Provide continuing follow-up to keep projects on target and promote the interest of the Alliance with the NTMWD for water supplies );> Represent the Alliance in discussions / negotiations with NTMWD or others in developing a definitive implementation plan for regional wastewater treatment including interim or short term facilities as well as permanent long term treatment facilities including endeavors to enhance the rate structure currently available to customer cities of the Upper East Fork Wastewater System );> Work with the Alliance Cities and developers to utilize development contributions to minimize the initial impacts of long-term utility contracts (this item could relate to the Alliance as a whole or could be applicable to each city on an individual basis) );> Facilitate and advise the cities in the coordination of mutual development standards );> Assist with developing collective objectives and desires for pursuing enhanced County sub-division standards as needed );> Conceptualize potential solutions to identified issues as requested by the Alliance );> Serve as an advisory resource for the Alliance in joint development matters or relating to the collective delivery of municipal services );> Provide for other areas of coordination and mutual assistance as the Alliance may desire Group B Services -Services for individual Cities / Alliance Members provided under this Agreement: );> Provide other services to Alliance members as requested for other services including issue options, financial analyses, structuring and/or reviewing policy 4 proposals, project or facility planning or development, contract negotiation, and such other matters as a City may request );> Help define each City's development desires as needed );> Review and advise an Alliance member City on its unique or individual development proposals I issues as needed I requested );> Facilitate and advise an individual City about its development standards );> Provide specialized advisory services to each City as requested and agreed between said City and Consultant Advisory Service Fees Each of the project issues summarized above as Group A Services represents distinct, yet interrelated areas of assistance that Consultant proposes to provide to the Alliance Members as a collective unit. The Group B services are intended to document an array of potential advisory services that Consultant agrees to provide individually as assistance to each respective City as requested. The various issues are incorporated in and collectively authorized by this letter of agreement. It is anticipated that the magnitude of the project objectives will require multiple years of effort although measurable short-term (one-year) achievements and collective benefits are expected. The nature of the project is that periodical (typically quarterly or more frequently if needed) effort applied methodically over a long period of time will be required. Consultant proposes that this effort be performed through continuing a monthly retainer (billing has traditionally be quarterly although monthly invoicing is possible if so requested) relationship with each Alliance member (thus the Alliance itself will not be required to incorporate, to establish a formal legal status, or to have a bank account). This proposal is based on a minimum of four Cities participation. Consultant proposes to provide continuing advisory I consulting service for multiple years if desired by the Alliance and its membership. This will be implemented through a continuing two-year agreement. This two-year agreement shall be considered to begin effective January 1, 2011 (at which time the prior agreement shall be considered to be replaced) and shall end December, 2012. Said agreement provides that each City will receive the collective services for projects approved by the Alliance Steering Committee at a monthly cost of $600.00 based on four (4) hours of retainer time per month per member at an hourly rate of $150.00 per hour (represents a $25.00 per hour discount over standard Municipal billing rate). Thus, working through the Alliance I Member City retainer contract with Consultant, each member receives service benefits far beyond their individual contractual cost. (Example: four members would result in a total of sixteen (16) hours consultant time being applied to Alliance projects each month with a corresponding increase or decrease in the monthly work effort depending on the actual number of Alliance participants.) Alliance members under contract with Consultant may utilize Consultant for other projects (beyond those approved by the Steering Committee) in additional project increments offour or more hours at a cost of $165.00 per hour (still under Consultant's standard municipal billing rate). This provision is intended to provide Alliance members access to advisory services on a variety of issues at a cost less than typically available. 5 Sincerely, Date Accepted: It Donald E. Consultant will assist in structuring assistance relative to developer negotiations so that expense can be recovered from the developer. Fees for additional staff (other than Consultant, depending on project needs) are $75 to $125 per hour for financial analysts and $50 per hour for any required clerical support. Other resources (although not anticipated for this project) are available on an as­ needed basis. Municipal clients are invoiced at the end of each month or quarterly. Travel! mileage within the metroplex is included in the hourly rate. Other expenses are billed at actual cost (minimal other expense is anticipated for this assignment at this time).
