RESOLUTION NO. 2012-11-07
A RESOLUTION OF THE CITY OF ANNA, TEXAS APPROVING THE CITY MANAGER'S 2012
PERFOMRANCE APPRAISAL AND APPROVING AN AMENDMENT TO THE CITY MANAGER
AGREEMENT CONSISTENT WITH SAID PERFORMANCE APPRAISAL.
WHEREAS, the City Council of the City of Anna, Texas (the "City Council") has completed the
City Manager's 2012 Performance Appraisal; and,
WHEREAS, the City Council and the City Manager have approved and executed a City Manager
Agreement (the "Agreement") effective November 12, 2007; and,
WHEREAS, said Agreement was Amended on September 9, 2008 and again on November 9,
2010; and,
WHEREAS, the City Council and the City Manager desire to further amend said Agreement; and,
WHEREAS, at any time during the term of the Agreement, the City Council may, in its discretion,
review and adjust the salary of the City Manager, and shall base said adjustments on the
performance of the Manager and may use factors such as comparable municipal compensation
for the city manager position;
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ANNA,
TEXAS, THAT:
Section 1. Recitals Incorporated
The recitals above are incorporated herein as if set forth in full for all purposes.
Section 2. Approval of Performance Appraisal and Salary Adjustment
The City Council hereby approves the City Manager's 2012 Performance Appraisal which
increases the Manager's annual salary, and the Agreement, as previously amended, is hereby
deemed further amended to place the Manager's annual salary at $110,000 effective November
28, 2012.
Section 3. Approval of Agreement Amendment
The City Council hereby further approves the Amendment to the City Manager Agreement
attached hereto as Exhibit 1, incorporated herein for all purposes and authorizes the Mayor to
execute same on behalf of the City.
PASSED AND APPROVED by the City Council of the City of Anna, Texas, on this 27th day of
November, 2012.

Amendment to City Manager Agreement
THE STATE OF TEXAS §
§ KNOW ALL MEN BY THESE PRESENTS:

This Amendment to the City Manager Agreement (the "Agreement"), is made and
entered into effective the 27th day of November, 2012 by and between the City of Anna,
Texas a Texas municipal corporation (the "City") and Philip Sanders (the "Manager").
The subpart of Part III of the Agreement set forth below is hereby amended as follows:
3.5 Insurance — Health and Life. The City agrees to pay the premiums for health,
hospitalization, vision, dental, and comprehensive medical insurance for the Manager,
and ° for the Manager's spouse and
dependents pursuant to the group health care plan provided by the City for its
administrative employees. The City also agrees to pay the premiums for life insurance
for the Manager in an amount equal to three times the Manager's annual salary as
provided in and pursuant to the group health plan provided by the City for its
administrative employees.
