Conduct a public hearing and consider/discuss/action on a resolution of the Anna Community Development Corporation approving and authorizing the expenditure of funds for Phase I of the City of Anna Wayfinding Program and approving a professional services agreement with Lee Engineering, L.L.C. (CDC). Bruce Norwood opened the public hearing at 6:05 p.m. Joey Grisham discussed the priorities from the June Joint City Council- CDC/EDC meeting that included utilizing proceeds from the sale of the Business Park to help fund the wayfinding and gateway signage program. Taylor Lough mentioned that staff reviewed several gateway signage and wayfinding plans from various cities. Staff recommends Lee Engineering LLC, an engineering firm with extensive experience working with Texas Department of Transportation right-of-way regulations and approved vendor for the city of Anna. The Professional Services Agreement states Lee engineering is the lead consultant and subcontracting with signage design firm MERJE Design. Kimberly Garduno discussed modeling the Wayfinding Stakeholder Group after the Anna Community Library Task Force and requested member recommendations from the CDC/EDC Board. Next steps will include a presentation at the November 22nd City Council Work Session followed by two public readings at the December City Council Meeting. Strategic Plan Update October was a busy month with conferences and meetings. Joey Grisham attended the Texas Economic Development Council’s Annual Conference in San Antonio. Staff met with Cooksey Communications to develop fiscal year 2023 proposed campaigns. Kimberly met Workforce Solutions McKinney and Anna High School to form Business, Retention and Expansion (BR&E) taskforce. City of Anna featured in Dallas Morning News Boomtown Series and various news outlets. Taylor Lough spoke at the REDNEWS Collin County Forecast Summit. The 3rd Annual Business Appreciation Breakfast will be held at the Anna Municipal Complex on November 10th. b. NTCAR Recap Economic Development staff attended the North Texas Commercial Association of Realtors (NTCAR) Expo at Sheraton Hotel Dallas. Compared to previous years, attendance was down due to date and venue change. Staff made contacts with several developers. c. Brewery Update City Council approved the lease and incentive agreement at the November 8th meeting. Taylor Lough provided an update concerning demolition plans and notified the Board the Texas Downtown Association awarded a $5,000 grant for landscaping, sidewalk upgrades and public art mural for the Brewery building. d. Resignation of Vice President Shane Williams Shane Williams officially resigned from the Board. 7.CLOSED SESSION (exceptions): a. EDC/CDC Agenda Staff Report Meeting Date: 12/19/2022 Staff Contact: AGENDA ITEM: Consider/Discuss/Act on a resolution approving an incentive agreement with the North Texas Annual Conference of the United Methodist Church. (CDC) SUMMARY: The United Methodist Church has requested a matching grant to update the exterior of their parsonage building at 118 W. 2nd Street. Improvements include painting the brick building gray, updating the landscaping, and a new sign. Following Board approval the church will begin in December and open the building in February, weather permitting. This would be the first building matching grant through the Downtown Incentive Policy that was adopted in July 2022. The purpose of the grant is to encourage property owners and tenants to improve existing buildings, the overall appearance of the Downtown core, and contribute meaningful additions to the public realm. The grant matches 50% of approved project costs for exterior projects. With a total project cost of $3,170 the CDC would provide $1,585. STAFF RECOMMENDATION: On behalf of the CDC adopt a resolution approving an incentive agreement with the Norht Texas Conference of the United Methodist Church. ATTACHMENTS: 1. WHEREAS, in 2019, the City of Anna, Texas City Council (the “City Council”) adopted a new strategic plan that heavily focused on economic development, including making Downtown Anna a vibrant destination; and WHEREAS, in April 2021, the City Council adopted a new Downtown Master Plan that identified action steps to help foster and promote such development and redevelopment in the heart of Downtown Anna.; and WHEREAS, it is the policy of the CDC Board of Directors (the “CDC Board”) to stimulate and encourage economic growth and development, and arrest blighting influences to carry out its public purposes; and WHEREAS, on July 7, 2022, the CDC Board adopted Resolution No. 7.08.2022 approving a Downtown Anna Economic Development Incentive Policy (the “Policy”) and related Incentive Program Guidelines (the “Program Guidelines”) to promote economic development and stimulate business and commercial activity in the City of Anna Downtown Neighborhood, said Program Guidelines being attached hereto as Exhibit A; and WHEREAS, the Grantee owns real property with improvements located in the Anna Downtown Neighborhood at 118 W. 2nd Street, Anna, Texas 75409 (the “Property”) and further described in the attached Exhibit B; and WHEREAS, the Grantee desires to make repairs and improvements on the Property in accordance with the plans attached hereto as Exhibit C and the CDC desires to grant funds to help finance said repairs and improvements (the “Project”); and WHEREAS the CDC Board finds that the Policy, the Project, and this Agreement will promote new or expanded business development; and Commented [TL1]: Insert Physical Address DOWNTOWN ANNA, TEXAS MATCHING GRANT AGREEMENT PAGE 2 WHEREAS, this Agreement is consistent with the Program Guidelines and serves a public purpose, and is in the public's best interest to award a grant to the Grantee under the terms of this Agreement; NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein the CDC and the Grantee agree as follows: SECTION 1 Findings and Intent: (A) The recitals set forth above in the “Whereas” clauses are hereby ratified by the parties as being true and correct and are incorporated herein. (B) Grantee meets the eligibility requirements specified in the Program Guidelines. (C) The parties hereto recognize, acknowledge, and do mutually find that the financial assistance provided pursuant to this Agreement is an important inducement to the Grantee undertaking the Project. (D) The CDC and Grantee expressly agree that time is of the essence with regard to completion of the Project as set forth in this Agreement and failure by Grantee to complete Project shall, at the option of the CDC, in addition to any of the CDC's rights or remedies, relieve the CDC of any obligation under this Agreement without liability. SECTION 2 CDC obligations and responsibilities: (A) Upon timely completion all prerequisites to begin work on the Project (including, but not limited to, obtaining all necessary permits and payment of all required fees), the CDC Economic Development Director will execute and deliver to Grantee a written notice to proceed with the Project (the “Notice to Proceed”) and authorize the disbursement of grant funds to Grantee to be used solely to fund the Project (the “Grant Funds”). (B) The Grant Funds will be in an amount that is the lesser of: (1) 50% of the Grantee’s budget for the project, said budget being attached hereto as Exhibit D (the “Project Budget”); or (2) $10,000.00. (C) Notwithstanding the foregoing or any provision of this Agreement, if Grantee fails to complete all prerequisites to begin work on the Project (including, but not limited to, obtaining all necessary permits and payment of all required fees) on or before January 31, 2023, then the CDC Economic Development Director will execute and deliver to Grantee a written notice of termination of this Agreement at which time this Agreement shall be null and void and the parties will have no rights hereunder DOWNTOWN ANNA, TEXAS MATCHING GRANT AGREEMENT PAGE 3 and shall be relieved of any and all of their respective rights hereunder including without limitation the CDC’s obligation to provide the Grant Funds. (D) The Project authorized under this Agreement is limited to the renovations, repairs, and/or improvements to the public roadside facing exterior of the building on the Property more fully described and/or depicted in the plans attached hereto as Exhibit C. (E) The CDC shall not be responsible for funding any part of the Project other than providing the Grantee with the Grant Funds to the extent required under this Agreement. (F) The CDC shall not be a party to nor is it liable for any contractual payments in connection with the Project to any contractors, engineers, architects, material providers, vendors, or other third parties. Any such payments to any contractors, engineers, architects, material providers, vendors, or other parties are the sole responsibility of Grantee. (G) In no event will CDC, its board members, agents, officers, directors, elected officials, employees or representatives be liable to Grantee for indirect, exemplary, punitive, special, or consequential damages in connection with the Project including but not limited to the quality of materials chosen by the Grantee under this Agreement under any theory of law or equity (whether in contract, tort, negligence, strict liability, by statute, or otherwise). Grantee shall not be entitled to any payment or compensation of any kind from CDC for lost profits, direct, indirect, consequential, or other expenses or damages including but not limited to costs of acceleration or inefficiency or extended overhead, arising because of delay, disruption, interference or hindrance from any cause whatsoever, whether such delay, disruption, interference be reasonable or unreasonable, foreseeable or unforeseeable, or avoidable or unavoidable. (H) THE CDC HAS NO LEGAL RIGHTS TO OR OWNERSHIP INTEREST IN THE MATERIALS CHOSEN BY THE GRANTEE AND AS SUCH DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, REGARDING CONSTRUCTION MATERIALS UTILIZED IN THE PROJECT, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, ACCURACY, SATISFACTORY QUALITY, TITLE, SECURITY, NONINFRINGEMENT, UNINTERRUPTED OR ERROR-FREE USE, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY IMPLIED WARRANTY ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING, USAGE OR TRADE. (I) Should Grantee fail to fully complete all elements of the construction of the Project in accordance with the plans attached hereto as Exhibit C within 120 days after the date of delivery of the Notice to Proceed including without limitation completion of DOWNTOWN ANNA, TEXAS MATCHING GRANT AGREEMENT PAGE 4 all punch list items and timely making all payments required under Section 3(A) and (B) of this Agreement (the “Construction Completion Deadline”), the Grantee shall reimburse the CDC in the amount of the Grant Funds disbursed by the CDC (the “Reimbursement Payment”) within 15 calendar days after the CDC delivers a written request for the Reimbursement Payment. If Grantee fails to timely make the Reimbursement Payment, Grantee will be deemed to have granted the CDC the right to record this Agreement, which will serve as a lien against the Property, in in the official records of Collin County, Texas, in the amount of the Grant Funds disbursed by the CDC. SECTION 3 Grantee obligations and responsibilities: (A) Grantee agrees to fully and timely pay all amounts that it may owe in connection with the Project to any and all contractors, engineers, architects, material providers, vendors, or other third parties. (B) Grantee shall finance the Project from its own funds in an amount equal to or greater than the Grant Funds (“Grantee’s Contribution”) and Grantee’s Contribution must be paid in full before the Construction Completion Deadline. (C) Grantee acknowledges and agrees that the Grant Funds are to be used solely for funding construction of the Project on the Property. (D) Grantee acknowledges and accepts the Program Guidelines. Grantee understands and agrees that its satisfaction with the quality of construction materials provided for in the Program Guidelines is not guaranteed by the CDC. Grantee agrees that the CDC is not liable to the Grantee for the construction materials chosen by the Grantee nor the construction or installation of same. It is expressly understood and agreed by the Grantee that it assumes all risks incident to the choice of construction materials and the installation of the construction materials as a participant in the Program. (E) Grantee understands and agrees that no Grant Funding will be provided unless and until building permits, if needed, for the Project have been approved and received by the Grantee. (F) Grantee shall comply with all applicable federal, state, county and municipal laws, ordinances, codes and regulations; including, but not limited to those adopted by the City of Anna. SECTION 4 Effective Date: The effective date of this Agreement is the date of execution by the last party who executes this Agreement (the “Effective Date”). SECTION 5 Insurance, Indemnification, and Audit: DOWNTOWN ANNA, TEXAS MATCHING GRANT AGREEMENT PAGE 5 (A) Insurance. Grantee shall acquire and maintain, during the period of time when any part of the Project is under construction or work is being performed (and until Completion of the Project and completion of all punch-list items: (a) workers compensation insurance in the amount required by law; and (b) commercial general liability insurance including personal injury liability, premises operations liability, and contractual liability, covering, but not limited to, the liability assumed under any indemnification provisions of this Agreement, with limits of liability for bodily injury, death and property damage of not less than $1,000,000.00. Such insurance shall also cover any and all claims which might arise out of said work or Project construction contracts, whether by Grantee, a contractor, subcontractor, material man, or otherwise. Coverage must be on a “per occurrence” basis. All such insurance shall: (i) be issued by a carrier which is rated “A 1” or better by A.M. Best’s Key Rating Guide and licensed to do business in the State of Texas; and (ii) name the City as an additional insured and contain a waiver of subrogation endorsement in favor of the City. Before commencing the Work, Grantee shall provide to the CDC certificates of insurance evidencing such insurance coverage together with the declaration of such policies, along with the endorsement naming the CDC as an additional insured. Each such policy shall provide that, at least 30 days prior to the cancellation, non-renewal or modification of the same, the CDC shall receive written notice of such cancellation, non-renewal or modification. (B)Indemnification. For good and valuable consideration herein provided, the receipt of which is hereby acknowledged by Grantee, Grantee agrees to indemnify, defend and hold and save harmless, the CDC, its board members, agents, officers, directors, officials, or employees from any and all liabilities, damages, penalties, judgments, claims, demands, costs, losses, expenses or attorneys' fees and related expenses through all appellate proceedings, for personal injury, bodily injury, death or property damage to the extent caused by the negligence, recklessness, or intentional wrongful misconduct of the Grantee, its agents, employees or contractors arising out of, in connection with or by reason of, the performance of the Project contemplated by this Agreement. The obligations under this paragraph shall survive the termination of this Agreement. (C) The CDC shall have the right to audit and make copies of Grantee’s books, records, documents and computations pertaining to this Agreement. Grantee shall retain such books, records, documents and other evidence pertaining to this Agreement during the contract period and two years thereafter, except if an audit is in progress or audit findings are yet unresolved, in which case records shall be kept until all audit tasks are completed and resolved. These books, records, documents and other evidence shall be made available to the CDC, within 10 business days of written request. Further, Grantee shall require all contractors, subcontractors, material suppliers, and other payees to retain all books, records, documents and other evidence pertaining to this Agreement or the construction or installation of the Project, and to allow the CDC DOWNTOWN ANNA, TEXAS MATCHING GRANT AGREEMENT PAGE 6 similar access to those documents. All books, records, documents and other evidence will be made available within a 50 mile radius of the City of Anna. The cost of any such audit will be borne by the CDC unless the audit reveals a beach of this Agreement in which case Grantee shall be solely responsible for such costs. Section 6 Buy Local Provision: (A) Grantee agrees to use its commercially reasonable efforts to give preference and priority to local manufacturers, suppliers, contractors, and labor, except where not reasonably possible to do so without added expense, substantial inconvenience, or sacrifice in operating efficiency in the normal course of business. (B) For the purposes of this section, the term “local” as used to describe manufacturers, suppliers, contractors, and labor includes firms, businesses, and persons who reside in or maintain an office within a 20-mile radius of the City of Anna corporate limits. Section 7 Warranties: The accuracy of the warranties set forth in this section are additional conditions for Grantee to receive the Grant Funds. Grantee shall notify the CDC if and when any of the following warranties are no longer accurate. The failure to so notify the CDC is a material breach of this Agreement. Grantee warrants and represents to the CDC the following: (A) Grantee is a Texas _______________________ duly organized, validly existing, and in good standing under the laws of the State of Texas. Grantee has all corporate power and authority to carry on its business as presently conducted in the State of Texas. (B) Grantee has the authority to enter into and perform, and will perform, the terms of this Agreement to the best of its ability. (C) If required under applicable law, Grantee has timely filed and will timely file all local, State, and Federal tax reports and returns required by law to be filed and all taxes, assessments, fees, and other governmental charges related to the Project, including applicable ad valorem taxes, have been timely paid, and will be timely paid, during the term of this Agreement. (D) Any entity(ies)/individual(s) executing this Agreement on behalf of Grantee are duly authorized to execute this Agreement on behalf of Grantee. (E) No litigation or governmental proceeding is pending or, to the knowledge of Grantee and its general partner and officers, is threatened against or affecting Grantee, or the Development or the Property, that may result in any material adverse change in Grantee’s business, properties or operation. DOWNTOWN ANNA, TEXAS MATCHING GRANT AGREEMENT PAGE 7 (F) Grantee shall not be in breach of any other contract by entering into and performing this Agreement. Grantee shall amend or enter into any other contract that may be necessary for Grantee to fully and timely perform its obligations under this Agreement. SECTION 8 Miscellaneous: (A) This Agreement shall be governed by the laws of the State of Texas. Any and all legal action arising out of, associated with, in connection with, growing out of, or necessary to enforce this Agreement will be held in Collin County, Texas. No remedy herein conferred upon any party is intended to be exclusive of any other remedy, and each and every such remedy shall be cumulative and shall be in addition to every other remedy given hereunder or now or hereafter existing at law or in equity or by statute or otherwise. No single or partial exercise by any party of any right, power, or remedy hereunder shall preclude any other or further exercise thereof. Notwithstanding the foregoing or any other provision of this Agreement, Grantee’s sole remedy for any breach of this Agreement by the CDC is to seek specific performance of the CDC’s obligations under this Agreement. (B) The CDC and Grantee acknowledge and agree that this Agreement satisfies, fulfills and is pursuant to and for a public purpose and is in the public interest, and is a proper exercise of the CDC's power and authority under Texas Law. (C) In no event shall any obligation of the CDC under this Agreement be or constitute a general obligation or indebtedness of the CDC. (D) This Agreement is not assignable. (E) There shall be no presumption that the ambiguities in this Agreement will be resolved against the party that caused it to be drafted, nor will this Agreement be construed against the CDC, its board members, agents, officers, directors, officials, employees or representatives solely because it was the party that caused this Agreement to be drafted. (F) If any term or provision of this Agreement, or the application thereof to any person or circumstances shall, to any extent, be held invalid or unenforceable, the remainder of this Agreement, or the application of such terms or provision, to persons or circumstances other than those as to which it is held invalid or unenforceable, shall not be affected, and every other term and provision of this Agreement shall be deemed valid and enforceable to the extent permitted by law. (G) This Agreement shall inure to the benefit of and shall be binding upon the CDC and Grantee and their respective successors. DOWNTOWN ANNA, TEXAS MATCHING GRANT AGREEMENT PAGE 8 (H) The CDC and Grantee agree that this Agreement, the Application and the Program Guidelines sets forth the entire Agreement between the parties, and that there are no promises or understandings other than those stated herein. None of the provisions, terms and conditions contained in this Agreement may be added to, modified, superseded or otherwise altered, except by written instrument executed by The CDC and Grantee. (I) The headings, captions, numbering system, etc., are inserted only as a matter of convenience and under no circumstances will they be considered in interpreting the provisions of this Agreement. (J) Each person executing this Agreement, by their execution hereof, represents and warrants that they are fully authorized to do so, and that no further action or consent on the part of the party for whom they are acting is required to the effectiveness and enforceability of this Agreement against such party following such execution. (K) In accordance with Chapter 2264 of the Texas Government Code, Grantee certifies that neither it, nor a branch, division, or department of Grantee, will ever knowingly employ an undocumented worker and that if, after receiving any public subsidies under this Agreement, Grantee, or a branch, division, or department of Grantee, is convicted of a violation under 8 U.S.C. §1324a(f), as amended or recodified, Grantee shall repay the total amount of all public subsidies and/or incentives theretofore received under this Agreement with interest at two percent (2%) per annum not later than the 120th day after the date the CDC notifies Grantee in writing of the violation. SECTION 7 Notices: Notices to be given by either party hereto shall be in writing and shall be deemed to have been served, given and received (a) if hand delivered, when delivered in person to the address set forth hereinafter for the party to whom notice is given, or (b) if mailed, when placed in the United States mail, postage prepaid, by certified mail, return receipt requested, properly addressed to the party to whom notice is given at the address hereinafter specified. Notary Public in and for the State of Texas Seal: Exhibit A Incentive Program Guidelines In 2019, the Anna City Council adopted a new strategic plan that heavily focused on economic development, including making Downtown Anna a vibrant destination. In April 2021, the Anna City Council adopted a new Downtown Master Plan that identified action steps to help achieve success. To help foster and promote such development and redevelopment in the heart of Downtown Anna, the following policy was created. Each application for an incentive will be evaluated on a case-by-case basis by the Economic Development Corporation (EDC), Community Development Corporation (CDC), and the City of Anna. Incentive funds may be granted from all, some, or one of the entities listed above depending on the request. All projects must be located within the Downtown Neighborhood District as defined by the City of Anna Downtown Master Plan. Application is not a guarantee of award. Those receiving incentives will also be required to enter into a performance agreement. Existing Building Matching Grants The purpose of this grant is to encourage property owners and tenants to improve the interior and exterior of existing buildings, the overall appearance of the Downtown core, and contribute meaningful additions to the public realm. This grant matches 50% of approved project costs, not to exceed $10,000 for exterior projects and matches 25% of approved project costs, not to exceed $10,000 for interior projects. Applications and awards may be made for any of the reimbursable exterior activities listed below and may be combined for any single property or project: Improvements to an existing exterior structure Improvements to public facing façade(s) Signage Public art Seating Utility relocation General building/property beautification including landscaping Applications and awards may be made for any of the reimbursable interior activities listed below and may be combined for any single property or project: Remodeling for the public benefit General maintenance such as HVAC, plumbing, electrical, etc. is ineligible. Applications must be made prior to work beginning. No grants will be awarded for work that has already been started, in progress, or completed. Work must begin within eight months from the date of award (two months for permitting and six months for construction). Grant funds are paid out on a reimbursement basis once completed work has been verified by City staff as compliant with the plans proposed in the approved application. Any deviation from the approved grant project may result in the total or partial withdrawal of the grant. Grants are awarded as a single payment to the applicant. If an applicant is awarded a grant for any work performed pursuant to this program and the work is altered for any reason within one year from the date of construction, the applicant may be required to reimburse the City of Anna immediately for the full amount of the grant. Further, if a property is listed for sale and/or leased to a tenant for a purpose not originally intended by the grant application within one year of reimbursement, the applicant may be required to reimburse the City of Anna immediately for the full amount of the grant. (CDC) SUMMARY: One of the top strategic planning items is recruitment of retail, restaurants, and entertainment for Anna. On December 2, 2021, the CDC selected Navi Retail to assist in marketing and recruiting retailers and restaurants for the City of Anna. CEO Casey Kidd will provide a presentation discussing efforts over the last year and the outlook for 2023. STAFF RECOMMENDATION: On behalf of the CDC, approve a resolution entering into a professional services agreement with a retail marketing/recruitment firm subject to approval as to legal form. WHEREAS, the Client wishes to engage the services of the Contractor to assist the Client in their retail recruitment efforts (“the Project”). The Contractor wishes to provide services for Continuation of Market Analysis and Retail Recruitment Services, as described in this Scope of Work (“the Proposal”). THEREFORE, in exchange for the mutual obligations in this Agreement, and other consideration, the Parties agree as follows: 1. Term of Agreement 1.1 This Agreement commences on the Effective Date and continues through twelve (12) months from Effective Date. 1.2 The Parties may extend the term of this Agreement by mutual agreement in a writing signed by both Parties which specifically states it is extending the term of this Agreement. 2. Services by the Contractor 2.1 The Contractor shall perform the services in connection with the Project as set forth in the Proposal on the schedule set forth in the Proposal. 2.2 The Parties acknowledge and agree that any and all opinions provided by the Contractor in connection with the Proposal represent the professional judgment of the Contractor in accordance with the professional standard of care applicable by law to the services performed hereunder. 2.3 The Contractor shall devote such time as reasonably necessary for the satisfactory performance of the services under this Agreement. Should the Client require additional services not included under this Agreement, the Contractor shall make reasonable effort to provide such additional services within the time schedule without decreasing the effectiveness of the performance of services required under this Agreement and shall be compensated for such additional services as agreed between the Parties. 2.4 The Contractor shall furnish the facilities, equipment and personnel necessary to perform its obligations under this Agreement. 2.5 Except for the obligations and restrictions expressly contained in this Agreement, nothing contained herein shall prohibit the Contractor from rendering services to any other entities during the term of this agreement. 23 3. Compensation to the Contractor 3.1 The Client shall remit one payment to the Contractor for $45,000.00 in accordance with the amounts listed in the Proposal. Payments are to be made within fifteen (15) days of the Effective Date. 3.2 The Contractor shall be entitled to no additional compensation under this Agreement unless the Parties agree to additional compensation in a writing signed by both Parties which specifically states it is altering the compensation due under this Agreement. 4. Termination 4.1. Either Party may terminate this Agreement immediately upon the material breach of the other Party. 5. General Obligations and Agreements 5.1 Amendments. Modifications or amendments to this Agreement are only effective if done in a writing signed by all Parties, which specifically states it is modifying or amending this Agreement. 5.2 Confidentiality. All documents, data compilations, reports, computer programs, photographs, and any other work provided to or produced by the Contractor and marked “Confidential” shall be kept confidential by the Client unless written permission is granted by Contractor for its release. 5.3 Compliance with Laws. The Contractor shall keep informed of and comply with all applicable federal, state and local laws and regulations in the performance of this Agreement. 5.4 Entirety of Agreement. This Agreement and its attachments, if any, represent the entire and integrated Agreement between the Parties and supersedes all prior negotiations, representations, and agreements, whether written or oral. 5.5 Ethics. The Contractor shall keep informed of and comply with all ethical standards governing the Contractor’s profession. 5.6 Force Majeure. Neither party shall be liable for failure to perform under this Agreement if such failure to perform arises out of causes beyond the control and without the fault or negligence of the nonperforming party. This provision shall become effective only if the party failing to perform immediately notifies the other party of the extent and nature of the problem, limits delay in performance to that required by the event, and takes all reasonable steps to minimize delays. 5.7 Indemnification. The Contractor shall indemnify, defend and hold harmless the Client and its agents, employees, successors and assigns from all claims, lawsuits, and liabilities arising out of the Contractor’s performance (or failure to perform) under this Agreement. 24 5.8 Independent Contractor. The Contractor is an independent contractor, and not an employee of the Client, under this Agreement. The Contractor is not authorized to incur any obligation on behalf of the Client. 5.9 Ownership of Work Product. All work product, including but not limited to all documents, reports, records, materials and data resulting from performance of this Agreement and produced for the Client’s exclusive use shall become the property of the Client upon completion of this Agreement. The Client agrees that it shall not alter, transform, or make derivative works of the product for the distribution or sale to any third-party. Any materials bearing the name or that of any specific retailer, developer, or other entity and/or not otherwise designated as being produced for the exclusive use of the Client shall not be considered as being produced for the exclusive use of the Client and shall remain the property of the Contractor. 5.10 Third-Party Beneficiary Rights. The Parties do not intend to create in any other person the status of third-party beneficiary, and this Agreement shall not be construed to create such status. The rights and obligations in this Agreement operate only between the Parties and inure solely to the benefit of the Parties. The Parties intend and expressly agree that only the Parties have any right to enforce this Agreement, to any remedy arising out of a party’s performance or failure to perform any term or condition of this Agreement, or to bring an action for the breach of this Agreement. 5.11 Time is of the Essence. Time is of the essence in all provisions of this Agreement. 5.12 Waiver. The waiver of any breach of any term or condition in this Agreement shall not be deemed a waiver of any prior or subsequent breach. 5.13 Severability. Business Retention & Expansion (BR&E) is an economic development strategy of proactively connecting with existing businesses to understand and respond to local business needs. Special attention is given to small businesses employing between 10 to 100 employees. The purpose of the Business Retention & Expansion Program is to encourage existing businesses to remain and expand in Anna, thereby creating new jobs and new taxable revenue for the city. An emphasis on retaining and growing existing businesses is warranted because nearly 80% of job growth is the result of local business expansion, and studies from across the country continuously highlight the importance of supporting existing local businesses rather than attracting new businesses. The BR&E program is an ongoing and critical process as it allows the city to develop strong relationships with the business community and hear ways that the city can support their efforts and address any issues or concerns.
