'a0 0-3 — O l —135 LI A RESOLUTION OF THE CITY OF ANNA, TEXAS AUTHORIZING THE CITY MANAGER TO EXECUTE A MEMORANDUM OF AGREEMENT AND ASSOCIATED DOCUMENTS, IN A FORM APPROVED BY THE CITY ATTORNEY, FOR THE PURCHASE OF A PORTION OF REAL PROPERTY LOCATED AT 510 HACKBERRY DRIVE, ANNA, TEXAS 75409; AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, The City of Anna Capital Improvement Plan includes proposed improvements to Hackberry Drive from State Highway 5 to Bamborough Drive; and, WHEREAS, the City of Anna is seeking to purchase a 0.132 acre tract of land for use as public right-of-way and purchase limited rights on and across a 0.061 acre tract of land for a permanent grading easement out of an existing 7.7869 acre tract if land located on the south side of Hackberry Drive; and, WHEREAS, the property owner has agreed to the terms as shown in the attached Memorandum of Agreement; and, WHEREAS, the City has determined it to be in the public interest for the City to purchase a portion of the property for public road improvements; and, WHEREAS, the City Attorney shall review and approve all agreements and contracts for the purchase of the property prior to execution by the City Manager; and, NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ANNA, TEXAS THAT: Recitals Incorporated The recitals above are incorporated herein as if set forth in full for all purposes. Authorization of Agreement and Funding. That the City Council of the City of Anna hereby authorizes the City Manager to execute a Memorandum of Agreement and associated documents for the purchase of property at 510 Hackberry Drive in the amount of $85,000. Box 367 Anna, TX 75409 RE: Hackberry Drive Street Improvements Dear Ms. Geer, The negotiations to secure Right -of -Way from you have progressed to the point that you have indicated a willingness to sign the City of Anna's Special Warranty Deed for Right -of -Way and for a Permanent Drainage Easement, in return for payment as agreed to in this letter. Compensation will be in the amount of $85,000.00 (Eighty -Five Thousand Dollars and Zero Cents) by the City of Anna, as fair and just compensation for dedication of the Right -of -Way and Permanent Grading Easement described and depicted in Exhibit A of the Special Warranty Deed for Right -of -Way and in Exhibit B of the Permanent Grading Easement. The payment of the amount herein stated, and the terms listed on the lines provided, constitute the only promises, considerations, and conditions of this purchase; and no other promises, considerations, or conditions have been signified or implied. 1. Payment in the amount of $85,000 (Eighty -Five Thousand Dollars and Zero Cents) to Grantor by Grantee, as fair and just compensation for the Right -of -Way and Permanent Grading Easement Dedication, fence replacement, tree replacement, and reconfiguration of the Grantor's existing barn. 2. Execution of an Indemnity Agreement by and between the Grantor and Grantee in a form mutually agreed upon by Grantor and Grantee. 3. Grantee's contractor will provide temporary livestock fencing along the Hackberry Drive Right-of-way for the duration of construction activity. 4. Grantor will execute the attached Special Warranty Deed for Right -of -Way and Permanent Grading Easement. 5. Geer, an individual, or by any third party to the extent the same are proximately caused by the Work; provided, however, that Company shall be obligated to give prompt written notice to the City of any and all CLAIMS known by Company and in no event shall the City have any duty to indemnify or hold harmless under this article if Company fails to provide written notice to the City of any CLAIMS within 15 calendar days after its first knowledge of same.
