RESOLUTION APPROVING A CONTRACT AND AUTHORIZING EXECUTION OF
SAME BETWEEN THE CITY OF ANNA AND IN·rEGRA TED COMPU·rER SYS·rEMS
INC. FOR MOBILE DATA COMPUTER SOFTWARE AND SUPPORT
WHEREAS, the City of Anna (City) has recently been awarded a grant by the Criminal
Justice Division of the Governor's Office for Policing Enhancements; and,
WHEREAS, a portion of the grant is designated to enhance the technology used by the
Police department; and,
WHEREAS, the City Staff has solicited a proposal from Integrated Computer Systems
Inc. (ICS) for mobile data computer software; and,
WHEREAS, Integrated Computer Systems in the sole source for ICS mobile data
computer software and support;
NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
ANNA, TEXAS ·rHAT:
Section 1. Recitals Incorporated
The recitals set forth above are incorporated herein for all purposes as if set forth in full.
Section 2. The City Council hereby approves a contract and authorizes the City
Manager to execute the same between the City of Anna and Integrated Computer
Systems, Inc. for mobile data computer software and support.
PASSED by the City Council of the City of Anna, Texas, on this 23rd day of March,
2010.

THIS AGREEMENT is made by and between Integrated Computer Systems, Inc., a Texas corporation, located at 3499 FM
1461, McKinney, Texas 75071, U.S.A., hereinafter referred to as ICS, and City of Anna
a Municipality , located at 101 S. Powell Parkway, Anna. TexaS 75409
and hereinafter referred to as LICENSEE or CUSTOMER.
The following addenda, when initialed by CUSTOMER and ICS, are incorporated herein be reference for all purposes:

RECITALS
A. ICS provides celtain computer hardware and related products (as listed on the ICS Hardware Sales Addendum, Software License Addendum, Software Support Addendum,
Software Services Addendum etc.); hereinafter referred to as \he Hardware and/or \he Related Products.
B. ICS licenses certain computer software; hereinafter referred to as \he ICS Software and collectively referred to as \he Licensed Software.
C. ICS provides certain related services.
D. CUSTOMER desires to acquire certain Hardware and/or Related Products; and/or CUSTOMER desires to obtain, pursuant to a license, ICS Software; and/or CUSTOMER
desires ICS to provide related services.
IN CONSIDERATION OF \he terms and conditions of this Agreement, and other good and valuable consideration, the premises contained herein, the receipt and sulliciency of
which is hereby acknowledged, the parties hera\o agree as follows:
ARTICLE I -MISCELlANEOUS TERMS
1. DEFINITIONS. Unless \he context otherwise provides, \he terms defined in Exhibit A shaH, for an purposes of this Agreement and all Addenda herato, have the meaning
therein specified.
2. ASSIGNMENT. CUSTOMER may assign this Agreement in whole or in part only with the prior written consent of ICS. ICS may assign this Agreement upon notice to
CUSTOMER.
3. CONFIDENTIAl.. INFORMATION. The parties herato agree \hat an propriel8ly information disclosed by \he other during performance of this Agreement, and identified as
proprietary, shall be held in confidence and used only in parformance of this Agreement. Each party will mcercise \he highest standard of care to protect the other's proprietary data
from unauthorized disclosures. If such data is publicly available, already in one party's possession or know, or is \hereafter righlfuUy and IawfuUy obtained by one party from sources
other than the other party, there shall be no restriction in its use.
4. WAIVER. Any waiver by either party of any provision of this Agreanent shall not imply a subsequent waiver of that or any other provision.
5. NOTICE. Any notices or demands required to be gillen heratn shaH be given to \he parties in writing, and by certiIIed mail at \he addresses specified herein, or to such other
addresses as \he parties may hereinafter substitute by written notice given in the manner prescribed in this section.
6. ENTIRE AGREEMENT. It is elCPressIy agreed that this Agreanent embodies \he entire agreement of \he parties in relation to \he subject matter of this Agreement, and that
there is no other oral or written agreement or understanding ~\he parties at \he time of execution of this Agreement.
A. This Agreement cannot be modified except by \he written agreement of an parties hereto. CUSTOMER further agrees that only an officer of ICS has the authority to
obligate ICS and that CUSTOMER, in entaring into this Agreanenl, has not relied on any representation, other than those 8JCPressIy contained in this Agreement.
B. CUSTOMER and ICS further agree \hat all, if any, purchase onIers or similar documents \hat purport to vary or add to \he terms and conditions of this Agreement shall be
null and void and shaH not vary or edd to \he terms and conditions of this
C. The word "Agreanenr as used herein shall mean this Agreement and all addenda hera\o.
7. GOVERNING LAW. The parties agree \hat his Agreement shaH be governed by the laws of \he Stata of Texas. Except to \he extent that \he provisions of this Agreement are
clearly inconsistent therewith, this Agreement will be governed by \he Uniform Commercial Code of \he State 0 f T exes. Venue for all legal actions will be Collin County, T exes. To
the extent \hat \here is to be a deIiwry or parformance of services under this Agreement, such services will be deemed "goods" within \he definition of such Uniform Commercial Code
except when deeming such services as "goods" would resuH in a dearly unreasonable interpretation.
8. LEGAL CONSTRUCTION. In case any one or more of \he provisions contained In this Agreement shall for any reason be held to be invalid, illegal, or unenforceable in any
respect, such invalidity, iUegality, or unenforceabilily shall not aIIect any other provision thereof, and this Agreement shall be conslrued as if such invalid, Illegal, or unenforceable
proviSions hed never lIMn contained herein.
9. BINDING EFFECT. This Agreement shan enure to \he benefit of and bind \he parties hereto, their successors and assigns.
10. AUTHORITY. Each party hereby warrants and represents \hat \heir respective signatures set forth herein have been and are on \he date of this Agreement duly authorized by
all necessary and appropriate COfllOI"aIe or legislative action to execute this Agreement.
11. SECTION HEADINGS. AI section headings contained herein are for convenience or reference only and are not intended to define or 1imiI\he scope of any provision of this
Agreement.
12. EXPENSES FOR ENFORCEMENT. In \he event either party is required to employ an attorney to enforce the provisions of this Agreement or is required to commence legal
proceedings to enforce \he provisions hereof, \he prevailing party shall be entitled to recover from \he other, reasonable attorney's fees and court costs incurred in connection with
such enforcement, including, but not limited to, collection agency fees, attorney litigation fees, suit fees, and costs or investigation and HIigaIIon.
13. FORCE MAJEURE. Neither party herato shaH be in default by reason of any failure of its parformance under this Agreement if such failure resuHs, whelherdirectly or indirectly,
from fire, 8JCPIosion, strike, freight embargo, act of God, or of \he public enemy, _,civil disturbance, act of any gowmrnent, de facto, or agency or oIIiciaIlhereof, labor shortage,
transportation conmgencies, unusually severe weath«, default of rnanufac\urer or a supplier as subcontractor, quarantine, restridion, epidemic, or catastrophe, lack of timely
instructions or essential information from the other party.
14. SOLICITATION OF EMPLOYEES. Neither ICS nor CUSTOMER shall, during \he tenn of this Agreement nor for a period of one year following its termination, soIiciI for
employment nor employ, whather as an employee or independent contractor, any person who is or has been employed by \he other during the term of this Agreanent.
15. TAXES. CUSTOMER shall pay all _ arising out of this Agreement, except for _ based upon \he net income of ICS. If CUSTOMER is a tax exempt enIity, CUSTOMER
shall provide ICS with written proof of such status.
16. EXHIBITS. AI Exhibits desaibed in this Agreanent are attached hereto, inCOf1lOl"a\ed herein, and mede a part of this Agreement for all purposes.
17. MISSPELLINGS. Misspelling of one or more words in this Agreement shall not invalidate this Agreement. Such misspelled words shaH be reed so as to have the meaning
apparently intended by \he parties.
18. EFFECTIVE DATE. This Agreement is effective upon \he date signed by an officer of ICS.
ARTICLE II "GENERAL TERMS
1. GENERAL TERMS. CUSTOMER and ICS may agree \hat CUSTOMER shall acquire Hardware, Licensed Software, and/or Related Products and/or related services.
2. ADDENDA. If ICS has agreed to provide and CUSTOMER has agreed to acquire \he JoIIoINing goods and/or services, CUSTOMER and ICS agree that \he terms and
conditions of such acquisition are governed by this Agreement and \he addenda specified in this Section. Such Addenda are incorporated herein by reference for an purposes.

3. OTHER GOODS OR SERVICES. If ICS has agreed to provide any other goods and/or services for CUSTOMER, CUSTOMER and ICS agree thai the terms and conditions of
such are govemad by this Agreement and the documents specified herein. Such documents are incorporatad herein by reference for all purposes.
4. DELIVERY. Detivery shall be definad as F .O.B. destination at CUSTOMER's premises or when CUSTOMER takes possession of the items to be delivered, whichever occurs
first. ICS shall prepay the shipping and transit insurance charges for the items delivered, and unless includad in this Agreement, the CUSTOMER agrees to reimburse ICS for such
charges.
5. RISK OF LOSS. Risk of loss shall pass to CUSTOMER upon delivery.
6. INSURANCE. ICS shall insura the Hardware against loss, destruction, and theft until delivery. CUSTOMER agrees to provide adequate "All Risk" Insurance to cover the
Hardwara while on CUSTOMER's payment in ful. CUSTOMER further agrees to hold harmless and indemnify ICS against any and all losses arising out of the Hardware after
delivery and before CUSTOMER's payment in full.
7. SECURITY INTEREST. ICS shall ratain a security interest in aI hardware, relatad products, and in any proceeds for as long as CUSTOMER owes ICS any monies under this
Agreement. CUSTOMER agrees to execute such document as may be necessary to perfect ICS' security Interest.
6. PAYMENT. All amounts payable to ICS ere due and payable in United States dollars at ICS' offices in Richardson, Texas U.S.A .. All amounts not paid when due shall bear
interest at the rate of one and one-hatf percent per month or the highest rate allowed by law, whichever is less.
9. LIAISON BETWEEN ICS AND CUSTOMER. ICS and CUSTOMER hereby designate the individuals namad herein as Liaisons, who shal have the duty of acting as points of
contact with personnel of ICS and CUSTOMER respectively. CUSTOMER's Uaison shall have the authority to accept goods and services provided by ICS. Either party may change
its Liaison upon notice to the other party.
10. CUSTOMER DELAYS. If CUSTOMER delays ICS' performance, ICS shal be excused from performance for an amount of time commensurate with the delay caused by
CUSTOMER. CUSTOMER acknowledges thai its delay may excuse ICS from performance for an amount of time greater than the delay caused by CUSTOMER. Such delays by
customer that may cause ICS to delay performance indude, but are not limited to, the following:
A. CUSTOMER's faIIura to adequately prepare CUSTOMER's premises for installation of the Hardware prior to the scheduled delivery date.
B. CUSTOMER's failure to order forms or supplies in a timely manner.
C. CUSTOMER's inadequacy in converting CUSTOMER's date for use by the ICS software induding, but not ~mitad to, the following:
(1) Failure to have prepared such data in the form and format requested by ICS;
(2) Failure to have prepared such date or before the date specified by ICS;
(3) Failure to have verified such data for accuracy; and,
(4) Submisaion of erroneous date to ICS.
D. CUSTOMER's failure to have adequately established the appropriate master files for the ICS Software.
E. CUSTOMER's failure to haw cornplately prepared the Hardware' Installation site prior to the Hardware's aclual delivery including, but not limited to, failure to have all
electrical worII and cable installation completad.
11. NON-DISCLOSURE OF TERMS. Except when required otherwise by law, CUSTOMER agrees not to disdose the terms and conditions of this Agreement and the addenda
hereto.
12. INJUNCTIVE RELIEF. CUSTOMER agrees thai all Licensed Software providad pursuant to this Agreement is unique. If CUSTOMER breeches this Agreement, then in
addition to such other remadies as ere available to ICS, ICS may obtain injunctive relief. This Section shall not be deemad to in any way limit such remadles as may be available to
ICS at law or equity.
13. LIMITATION OF LIABILITY. All warranties in this Agreement are subject to the following provisions:
A. ALL WARRANTIES IN THIS AGREEMENT ARE IN LIE OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED
WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. UNLESS EXPRESSLY WARRANTED HEREIN, ALL GOODS AND SERVICES
PROVIDED BY ICS PURSUANT TO THIS AGREEMENT ARE FURNISHED ON AN ·AS IS· BASIS.
B. ICS SHALL NOT BE LIABLE FOR FAILURE TO PROVIDE, OR DELAYS IN PROVIDING, SERVICES UNDER THIS AGREEMENT IF DUE TO ANY CAUSE BEYOND
ICS' REASONABLE CONTROL.
C. CUSTOMER EXPRESSlY ASSUMES ALL RESPONSIBILITY FOR THE SELECTION AND USE OF THE HARDWARE, LICENSED SOFTWARE, AND PRODUCTS.
CUSTOMER EXPRESSLY AGREES TO VERIFY THE RESULTS OF ITS USE OF THE HARDWARE, LICENSED SOFTWARE, AND PRODUCTS.
D. CUSTOMER IS SOLELY RESPONSIBLE FOR CREATING DAILY BACKUP AND VERIFYING THE VALIDITY OF BACKUPS. IN NO EVENT SHALL ICS RE
RESPONSIBLE FOR THE LOSS OF DESTRUCTION OF DATA.
E. CUSTOMER UNOERSTANDS AND AGREES THE COMPLEXITY OF THE COMPUTER SOFTWARE PROVIDED IS SUCH THAT IT MAY HAVE INHERENT
DEFECTS, LATENT OR MANIFEST. ICS SHALL USE ITS BEST EFFORTS TO CORRECT SUCH DEFECTS, IF ANY,IN ACCORDANCE WITH THE LIMITED WARRANTY
GRANTED IN THE SOFTWARE LICENSE ADDENDUM.
F. CUSTOMER UNDERSTANDS AND AGREES THAT IT TAKES SOLE RESPONSIBILITY FOR USING THE GOODS AND SERVICES NOT PROVIDED BY ICS.
G. ICS SHALL NOT BE LIABLE FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY NATURE WHATSOEVER, SUCH AS, BUT NOT LIMITED
TO, LOSS OF ANTICIPATED PROFITS, OR OTHER ECONOMIC LOSS IN CONNECTION WITH, OR ARISING OUT OF THE EXISTENCE OF THE FURNISHING,
FUNCTIONING, OR CUSTOMERS USE OF ANY SERVICES OR GOODS PROVIDED IN THIS AGREEMENT WHETHER BASED IN CONTRACT, TORT, OR ON ANY
OTHER THEORY OF LIABILITY. ICS WILL NOT BE LIABLE FOR DAMAGES AS INDICATED ABOVE, EVEN IF ICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES.
H. IN NO EVENT SHALL ICS BE LIABLE FOR ANY AMOUNT IN EXCESS OF THE MONIES PAID BY CUSTOMER TO ICS PURSUANT TO THIS AGREEMENT.
I. NO ACTION, REGARDLESS OF ITS FORM, ARISING OUT OF TRANSACTIONS OCCURRING UNDER OR CONTEMPLATED BY THIS AGREEMENT, MAY BE
BROUGHT BY EITHER PARTY MORE THAN TWO YEARS AFTER THE CAUSE OF ACTION HAS ACCRUED.
14. TERMINATION. This Agreement may be terminatad in accordance with the following:
A. Either party may terminate in the event of bankruptcy, in~,and/or an assignment for the benefit of creditors of or by em-party.
B. In the event CUSTOMER fails to perform in accordance with the terms and conditions of this Ag.--nent including, but not timitad to, all addenda hereto; is so notifiad by
ICS; and fails to cure such failure within thirty (30) days following notice, ICS may terminate this Agreement upon notice.
C. Termination of this Agreement terminates al licenses, if any, grantad pursuant to this Agreement.
D. All non-disdosure, non-competition, and confidentiality provisions of this Agreement shal survlw its termination.
E. In the event of termination by em-party, any cradits due CUSTOMER for prepayments of maintenance COII8Iing the period alter the dae of termination shall be
refunded to CUSTOMER with thirty (30) days from the dae of tarmlnation. My monies due ICS from CUSTOMER are due and payable on termination date. ICS may use any
monies due to ICS to offset monies due to CUSTOMER.
F. If ICS fails to provide the Licensed Sottware as warranted in accordance with the terms of this Agreement and Cuatomer has given intent to terminate this agreement due
to non performance of warranty, then Customer may at its option terminate this Agreement with ninety (90) days written notice as follows:
0) The termination notice shall provide a detailed desaiption (with exmnples) of any wan-anty defects daimad;
Oil ICS shaD have ninety (90) days from receipt of said notice to correct any warranty defects in order to satisfy the terms of this Agreanent;
(iiI) During the ninety (90) day cure period, Customer shal apply sound management predices and use its best efklI1s to resoMt any issues or obstacleS -indudlng
cooperating with ICS and reassigning personnel if necessary to improve the worIIing relationship;
(Iv) AI the end of ninety (90) days unless the termination has been revokad in writing by Customer, the Agreement terminates.

NOTES:
(1) Customer will provide all Ethemet LAN connections hubs etc .. Customer is responsible for all none MOC hardware,
system software and related installation and testing.
(2) Installation price is for the installation of the above listed ICS MDC Hardware and software only. Requirements to
move currendy installed vehicle equipment to install the MOC hardware will be the responsibility of the customer. The
GPS receiver wiU be installed on the vehicle dash.
(3) ICS will pre-configure MDC hardware and install and configure MOC and Gateway software.
(4) All other installation services will be chargeable on a time and materials basis currenUY $265hr..
(5) Collin Coumy and the City wiN be responsible for providing a VPN into their ~including associated equipment
.monthly service fees. MDC GPRSlCOMA monthly service. pager service. support phone line. state interface. and their
associated installation cost.
(6) Modem'S and wireless service costs are the City·s responsibility ..
(7) Customer wHi worn with Coumy to determine any additional costs that may be appropriate.

WARRANTY', ICS MAKES NO WARRANTIES CONCERNING THE ICS SOFtWARE AND ICS
PROIIIOES SUCH SOFTWARE' AS IS'. ICS EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES.
EXPRESS OR IMPLIED INCLUDING. BUT NOT LlMrrED TO. THE IM~IED WARRANTIES OF
MERCHANTABILITY AND FrrNESS FOR A PARTICULAR PURPOSE. USE OF THE ICS

THIS SOFTWARE SUPPORT ADDENDUM is entered into by and between Integrated Computer Systems Inc. , located at 3499 FM 1461, McKInney, Texas
75071, hereafter referred to as ICS; and The City of Anna, with ill; principal location at 101 S. Powell Parkway, Anna, Texas 75409, hereinafter referred to as
LICENSEE or CUSTOMER.
A. On 2 122 12010, ICS and CUSTOMER entered into an agreement entitled "GENERAL TERMS AND CONDITIONS" and " CONTRACT MODIFICATION
ADDENDUM" hereinafter referred to as the Agreement.
B. Pursuant to the Agreement, incorporated herein by reference for all purposes, and the terms and conditions of this Addendum which are contained on the front
and reverse sides of this page, Customer agrees to purchase support for the following items from ICS:

ICS and LICENSEE desire to supplement and amend the ~ent.
IN CONSIDERATION OF the teons and OOI1dftIons of the Agreement, this Addendum,
and othar good and YlIIuab1e consideration, tha premises conIained heIein, the receipt and
sufficiency of which Is heAoby acknowledged, the parIIes hereto agree ..follows:
1. DEFINITIONS. Unless the conI8ld othefwise provides, the lenns defined in this
section shall, for the purposes of this Addendum, have the ~hemin specified.
A. Enhancement. An Enhancement Is defined as an improvMIent to the ICS
SoftwMt. SUch improvement Indudes, but is nOi1im1ted to, adding a function,
adding a report, adding a screen input fonnat, and adding a program.
B. Update. An update is defined ..a changa or error corredIons made to the
existing ICS licensed SoftwMt and indudes but Is not imiIed to, changes made to
bring current any function or funcIiona.
C. licensed SoftwMt. The ICS SoftwMt is <:OIIecIMiIIy flIfemId to 88 the
lic::ensed Software.
D. Thin! Party SoftwMt. The software provided by the customer andIof ICS
which Indudes but not limited to the operating system software, word processing

2. SOFTWARE SUPPORT. In acoon:tarn::e with the lenna and condiIion8 of this
Addendum, ICS shall provide LICENSEE with software support for the ICS Software and
SUblicensed Software as specified In this Addendum.

SUpport in acconIance with the ICS "SOFTWARE SUPPORT COVERAGE
ADDENDUM EXHIBIT A" and the SecIIon's entIIIed "ENHANCEMENTS",
"UPDATIES", "ERROR CORRECTIONS", "TSP SERVICES", "TELEPHONE
SUPPORT" . ICS may from time to time change the cowrage offered under this
agreement. If coverage Is to change Ihen the new cowrage will become alredive on
the first day of the new yaM' billing cycle.
B. AM software provided pursuant to this Addendum Is pn:Mded "AS IS". Updated rcs lic::ensed SoftwMt documentation will be Installed locally on aD Ik;ensed
woriIstaIions. SUpport for all third party licensed Software will be provided 88
described in the ICS "SOFTWARE SUPPORT COVERAGE ADDENDUM EXHIBIT
A". Thin! party software documentation wiD be proWled through d1inI party voodor if
available. No d1inI party sollwMt documentation will be provided by ICS.
C. All Enhancements, UpdatBa, and error corredIons for ICS SoftwMt shall be
deemed to be ICS SoftwMt and shall be subject to the provisions of the ICS
SOFTWARE LICENSE ADDENDUM that eppIies to the licensed Software
enhanced, updated, or COIfeded. ICS shall insta8 updates to LICENSEE software at
least once ewIY calendar yaM'.
3. SOFTWARE COVERED. This Addendum shall apply to alllCS licensed Software.
If LICENSEE acquires addilionalllcensed Software, such software sIlaII upon iIs Software
Instalation Data become subject to this Agreement. The annual fees for such additional
Ucensed Software shall be added, as relevant, to the annual fees already charged to
LICENSEE.
4. FEES AND PAYMENT. For the services provided herein, LICENSEE agrees to pay
the annual software support fee as specified in this Addendum and in acconIancewith the
following unless otherwise stated on the front of this Addendum:
A. Upon the eIfecIiw dele of this Addendum, UCENSEE agrees to pay tCS all of
the one-time charges and the annual fee. Thereaftef. the annual support fee is due
on or before the first month of every yaM'thls Addendum Is In eIfect.
5. TERM. This Addendum shall become eIfedi1Ie on the dele executed by an oIficerof
ICS and shall have an initial Ienn commencing upon the aIredive dele and ending upon the
last day of the first year this Addendum is in eIfect. This Addendum shall automaIIcaIly
renew for subsequent _year terms. unless either party gilles the other party at least
thirty days' notk:e of iIs intent not to renew.
6. INSTAlLATION. If LICENSEE has acquired the TSP SeMces, Ihen ICS sIlaII install
the enhancements, updates. and error corrections upon LICENSEE's computer system at
no charge. If LICENSEE has not acquired the TSP SeNIces or if in any event Ills not
pradical or possible for ICS to utilize TSP Ihen ICS shall inslall such Enhancements In
acconIam:e with the section entitled 'TIME AND MATERIAlS SERVICES'.
7. ENHANCEMENTS. From lime to time, ICS, in Its sole discretion, may choose to
make enhancements to the ICS SofI.ware. If ICS does make such Enhancements, ICS
shall provide them to LICENSEE in acconIance with the -mn entitled 'INSTAlLATION'.
A. If the voodor of the third party software makes enhancements without charge
to ICS, ICS may, in Ita sole discretion, provide such Enhancements.
B. LICENSEE acknowledges that the Enhancements may not function with the
particular configuration of hardware and sdlware possessed by UCENSEE and that
in order to function, the Enhancements may require additional hafdware and
software at an additlonat cost to LICENSEE.
C. LICENSEE also acknowfedges that the Enhancements, when in use, may
utilize more system resoun::es Ihen the licensed SofI.ware CUII'8IlIIy Instaled. Such
additionel system resoun:es include, but ani not imiIed to, additional auxiliary
storage. additional memory, and eddllmnaluw of the CPU.
D. LICENSEE aIsoacknowfedges that ICS doesnOlprovide8Oftware updateS or
enhancements to thin! party software unless specifically stated.
8. UPDATES. In acoon:tarn::e with the tenns and cmdIIIons ofthis Addendum, ICS shall
provide LICENSEE with error corrections and ICS selectively designated mandated
IegIstaIIve UpdatBa for the ICS Software specIIIed in this Addendum and the SecIIon
entitled 'INSTAlLATION'.
A. ICS Is to be notified by LICENSEE of any errors or mandated leglslati'¥e
changes requiring corrections or rnodiIic:aIIoIlS to rcs seIeCIiIIeIy designated existing
software.
B. lagisIaIMI updates software mocllficaliullslXl8ling in __of$10,000 will be
borne by the licensee.
C. Updates. as defined 1Ibow, ani made solely at the di8CIetion of ICS.

D. CUSTOMER is responsible for aD TSP long distance charges Incurred due to
CUSTOMER's request other than those related to an error corredIon of the ICS
Software.
11, TIME AND MATERIAlS SERVICES. ICS shall perform the services desalbed in this
section at Its sole disaelion and shall charge LICENSEE. at ICS' then standard rates. for
the time and materials used.
A. Responding to problems. questiOns. andIof malfunctions c:on<:eming changes
made to the Uoensed Software by non tCS personnel.
B. Responding to problems caused by LICENSEE's personnel indudIng, but nOi
limited to, operator error.
C. Responding to problems caused by em:.neous data.
D. Responding to problems caused by hardware unless COW!I'ed by ICS
HanIware Maintenance Agreement.
E. Responding to problems caused by 8OI\ware other than the ICS Software.
F. MaIdng modltk:ations to the licensed SofI.ware due to han:Iware modifications
Including. but not limited to. a change in LICENSEE's hardware configuration.
G. Performing hardware maintenance or hafdware diagnostics.
H. Performing operator training.
I. Installing the ICS Software or the Sublicensed SoftwMt unless LICENSEE
hu acquired the TSP Software or selected a support level that CO~ the
Installation fees.
J. Responding to problems caused by UCENSEE'sfailuretoailow ICS access to
LICENSEE's computer system.
K. Responding to problems caused by accident, neglect, lire, misuse. or any
other cause not within ICS' reuonable control.
l. Any other -w:es performed by rcs and not otherwise provided for in this
Addandum and/or the ICS SOFTWARE SUPPORT COVERAGE ADDENDUM
EXHIBIT A.
12. EXPENSES. LICENSEE is responsible for all expenses not specIIIed 88 being ICS'
responsibility. LICENSEE is respon8lllefor, but not limltl.ldto,lnMlI, 1ranspartallon, food,
lodging, long distance telephone charges. and media costs incurred by ICS in Its
perfonnam:e of this Addendum.
13. INDEPENDENT CONTRACTORS. ICS may engage Independent contrectors to
perform al or part of IC$' obligations under this Addandum after wriIIen notiIiaItion to
LICENSEE and receipt of WIIIten agreement there trom.
14. SYSTEM MANAGERICOORDINATOR. CUSTOMERwiDappotnIa sysIem managerl
COOfdinator who wiD be the liaison ~rcs and CUSTOMER and will be thefooal point
for all inquiries to ICS trom CUSTOMER. In addition,the system managerlcoordinatorwiD
be responsible for coordinating all classroom training and the support of the ICS
AppIIcaIion SoftwMt and Operating System for the customer. The system
mengerlcoordinator wiD be expected to perform the above requirements with a high level of
understanding for all ICS license software.
